Terms and Conditions

These terms explain the agreement between you and us when you use HappyNoodle to run your business, list in the directory, or contact a business through it. Please read them carefully.
1. Who we are
HappyNoodle ("the Service") is provided by Pygar AI Technologies ("we", "us"), registered at Suite 33 Acorn Mill, Lees, Oldham, OL4 3DH, United Kingdom, company number 17430073. You can reach us at admin@pygar.ai.
2. Accepting these terms
By creating an account, using the Service, or sending an enquiry through the business directory, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm you have authority to bind that business.
3. Accounts and security
You must give accurate information and keep your sign-in details secure. You are responsible for everything done under your account, including by team members you invite. Tell us straight away if you suspect unauthorised access.
Each business account (sub-account) is kept separate. Team members only see the businesses they have been given access to.
4. What the Service does
The Service helps independent businesses manage contacts, pipelines, proposals, projects, invoices, client portals, calendars, automations, reviews and a public business directory. Features may change as we improve the product; we will give reasonable notice of changes that materially reduce what you pay for.
4A. AI-assisted features
AI outputs may be incomplete, inaccurate or unsuitable for your circumstances. They are drafts and productivity aids, not legal, financial, tax, medical or other professional advice. You must review an output before relying on it or sending it to another person.
We do not promise that an AI output will be unique, error-free or available continuously. You remain responsible for decisions and content produced from it.
5. Your data and your clients' data
You own the content and client information you put into the Service ("Customer Data"). You give us permission to store and process it only to provide the Service to you.
For your clients' personal data you are the data controller and we act as your data processor under UK GDPR. You are responsible for having a lawful basis to hold that data and for honouring marketing consent and opt-outs. The Service records consent and unsubscribe status to help you do this.
6. Messages, reminders and automations
You are responsible for the content of emails, texts, proposals, invoice chasers, review requests and holiday notices sent from your account, and for complying with the Privacy and Electronic Communications Regulations (PECR), consumer law and anti-spam rules. Do not send marketing to people who have not agreed to receive it.
7. The business directory and reviews
Listing in the directory is optional. You must describe your services, rates, availability and lead times honestly.
Only signed-in users who have accepted these Terms can send enquiries to a listed business. Enquiries must be genuine; no spam, solicitation or harvesting of contact details.
Reviews may only be left by clients through a review link sent by the business at the end of an assignment. Reviews must be honest and based on real experience. Businesses must not offer incentives for positive reviews, write their own reviews, or suppress genuine negative ones in breach of the Digital Markets, Competition and Consumers Act 2024. We may remove reviews or listings that break these rules.
8. Payments and third-party services
Where you connect third-party services (for example Xero, Google Calendar, email providers or payment processors), your use of them is governed by their own terms. We are not responsible for their availability or for data once it has left the Service at your instruction. Accounting exports and syncs are provided to help you keep records for Making Tax Digital; you remain responsible for your tax returns.
9. Acceptable use
You must not use the Service to break the law, infringe others' rights, send malware, attempt to access other customers' data, reverse-engineer the Service, or overload our systems.
10. Fees and consumer rights
Paid plans are billed in advance in pounds sterling unless stated otherwise. Fees are non-refundable except where required by law. We may suspend accounts that are significantly overdue after giving notice.
Nothing in these Terms removes rights that cannot legally be excluded, including a consumer's right for digital services to be supplied with reasonable care and skill. If you buy as a consumer, statutory cancellation and remedy rights continue to apply.
11. Suspension and ending your account
You can close your account at any time. We may suspend or end access if you seriously or repeatedly breach these Terms. After closure you can export your data for 30 days, after which we delete it, except where we must keep it by law.
12. Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited by law. Otherwise, we are not liable for indirect or consequential loss, lost profits or lost data, and our total liability in any 12-month period is limited to the fees you paid us in that period.
12A. Cookies
The Service uses essential cookies and similar storage to keep you signed in, protect accounts, verify you are human and process payments, plus a few optional functional items that remember your preferences. Full details, including each item and how long it lasts, are in the Cookies section of our Privacy Policy, which forms part of these Terms. By using the Service you accept the essential items; you can remove optional items at any time in your browser without losing access.
Businesses that add our website chat or booking tools to their own sites are responsible for telling their visitors about the functional storage those tools use.
13. Changes to these terms
We may update these Terms. If a change is significant we will tell you in the app or by email at least 30 days before it takes effect, and ask you to accept it again.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of that jurisdiction have exclusive jurisdiction.
15. Age
You must be at least 18 years old to create an account or use the directory enquiry service.
